BillingFreedom® Terms and Conditions
BillingFreedom LLC
1. Acceptance of These Terms
These Terms and Conditions ("Terms") govern your access to and use of billingfreedom.com and its subpages, content, tools, forms, and chat features (together, the "Site"), which are operated by BillingFreedom LLC ("BillingFreedom," "we," "us," or "our"), a Delaware limited liability company with its principal office at 6136 Frisco Square Blvd., Suite 418, Frisco, Texas 75034.
By accessing or using the Site, you agree to these Terms and acknowledge our Privacy Policy, which describes how we handle personal information. If you do not agree, do not use the Site. If you use the Site on behalf of a practice, clinic, or other organization, you represent that you have authority to bind that organization, and "you" includes it.
These Terms apply to the Site only. The services we provide to clients are governed by a separate written service agreement and Business Associate Agreement (see Section 3).
2. Eligibility and Permitted Use
The Site is intended for healthcare providers, practice administrators, and other professionals in the United States who are at least 18 years old. You may use the Site to learn about our services, read our content library, request a quote or billing audit, book a call, and contact us.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for those purposes. Any other use requires our prior written permission.
3. Our Services and Client Agreements
The Site describes the revenue cycle management services we offer, including medical billing, coding, credentialing, eligibility and benefits verification, accounts receivable follow-up, denial management, payment posting, monthly reporting, practice audits, and virtual medical assistant (VMA) services.
The Site does not create a client relationship. Submitting a form, chatting with our assistant, booking a call, or requesting an audit is a request for information, not an engagement. We require a signed written service agreement before beginning client services and, where HIPAA requires it, a signed Business Associate Agreement (BAA) before we receive or access protected health information (PHI), including for a free audit. Business associate status and the legal obligations that come with it are determined by HIPAA and the activities performed, not solely by whether an agreement has been signed. The service agreement and BAA, not these Terms, govern the scope of services, fees, confidentiality, data handling, term, and termination.
Audits and proposals. A free billing audit or proposal we provide is a preliminary review based on the information you give us. It is offered to help you evaluate our services, and any figures in it (projected collections, denial rates, days in A/R, or revenue change) are estimates, not guarantees.
Pricing. Any pricing shown on the Site is indicative and may change. The fees that apply to you are those stated in your signed service agreement. Fees for services are invoiced after the services are performed unless your agreement says otherwise.
Results. Billing and collection results depend on many factors outside our control, including payer policies, patient eligibility, provider documentation, and the accuracy and timeliness of information supplied by the practice. Case studies and testimonials on the Site describe individual clients' experiences; your results may differ.
4. No Professional Advice
The articles, guidelines, payer and Medicaid summaries, code references, FAQs, chat responses, and other content on the Site are provided for general informational purposes only. They are not medical, legal, tax, accounting, or financial advice, and they do not constitute coding or billing advice for any specific claim, patient, or practice.
Payer policies, CPT, ICD-10-CM, and HCPCS codes, modifiers, and state Medicaid rules change frequently and vary by payer, plan, state, and date of service. Although we work to keep our content current, we do not guarantee that any item is accurate, complete, or up to date at the time you read it. Always confirm coding and billing decisions against the current payer policy, the official code set, and your own compliance program, and consult a qualified attorney, accountant, or compliance professional for advice about your situation.
Responses from the assistant on the Site are generated automatically and may contain errors. They are not reviewed by a certified coder before being shown to you unless we expressly say so.
5. Intellectual Property
Our content
The Site and everything on it, including text, articles, guidelines, graphics, logos, page designs, images, audio, video, software, chat tools, and the selection and arrangement of that material, are owned by BillingFreedom LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited license in Section 2, no rights are granted to you.
Trademarks
BILLINGFREEDOM® is a service mark of BillingFreedom LLC registered with the United States Patent and Trademark Office (Reg. No. 8,420,571). The BillingFreedom logo and our other product and service names are also our marks. You may not use our marks without our prior written consent, including in domain names, advertising, social media handles, or any way that suggests affiliation or endorsement. Other names and logos on the Site belong to their respective owners.
What you may do
You may view, download, and print one copy of Site pages for your own internal, non-commercial reference, provided you keep all copyright and trademark notices. You may link to the Site's public pages, provided the link does not misrepresent our relationship with you.
What you may not do
You may not copy, reproduce, republish, distribute, scrape, mirror, frame, sell, or create derivative works from Site content, in whole or in part, without our written permission. You may not use Site content, including our guidelines library, to train, fine-tune, or evaluate artificial intelligence or machine learning models.
CPT notice
CPT® is a registered trademark of the American Medical Association (AMA). CPT codes, descriptions, and other data referenced on the Site are copyright of the American Medical Association. All rights reserved. Fee schedules, relative value units, conversion factors, and related components are not assigned by the AMA. The AMA does not directly or indirectly practice medicine or dispense medical services and assumes no liability for data contained or not contained on the Site.
Copyright complaints
If you believe content on the Site infringes your copyright, email info@billingfreedom.com with the subject line "Copyright Complaint" and include a description of the copyrighted work, the URL of the Site content at issue, your name, address, phone number, and email, a statement that you believe in good faith the use is not authorized, and your physical or electronic signature. We will review the complaint and remove or disable access to content we determine to be infringing.
6. Information You Submit
Forms, chat, and questions
When you submit a form, chat with our assistant, send a question to our coding desk, or otherwise provide information through the Site, you represent that the information is accurate and that you have the right to share it. We use that information to respond to you and as described in our Privacy Policy and, if you become a client, your service agreement and BAA. For general coding and billing questions, we may publish a generalized educational answer in our content library that does not identify you, your practice, a patient, or your practice's specific circumstances; we will ask for your separate written permission before describing a practice's confidential circumstances, even in anonymized form. PHI and confidential client information are never covered by this permission.
Testimonials and reviews
We publish a testimonial, review, or case study only with your written permission, which will state what we may use (the quote, your name, title, practice name, and specialty) and where (the Site, proposals, social media, and other marketing). You may withdraw that permission at any time by emailing info@billingfreedom.com; we will remove the testimonial from the Site and other channels we control within 30 days, though copies already in printed materials or on third-party platforms may remain.
No PHI
Do not submit protected health information, patient names, dates of birth, insurance member IDs, Social Security numbers, or payment card numbers through the Site's forms or chat. If we become aware that such information has been submitted, we will restrict access to it and take appropriate steps, including secure deletion where appropriate and legally permitted, and we will meet any investigation, preservation, and notification obligations that apply. PHI may be shared with us only after a BAA is signed and through the secure channel we provide.
Feedback
Suggestions and ideas you send us about the Site or our services are not confidential, and we may use them without obligation to you.
7. Prohibited Uses
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms.
- Submit false, misleading, or fraudulent information, or impersonate any person or organization.
- Scrape, crawl, harvest, or bulk-download Site content or contact information, or use bots, scripts, or automated means to access the Site beyond what ordinary search engines do.
- Attempt to probe, scan, or test the vulnerability of the Site, bypass any security or access controls, or interfere with its operation.
- Introduce viruses, malware, or other harmful code.
- Use the chat assistant or forms to send spam, solicitations, abusive content, or content that infringes another person's rights.
- Remove or alter any copyright, trademark, or other proprietary notice.
- Use the Site or our content to build a competing product or service.
We may investigate violations and cooperate with law enforcement.
8. Third-Party Links, Tools, and Services
The Site links to and embeds third-party websites, tools, and services, including payer and government resources, scheduling and chat tools, social media pages, and review platforms such as the Better Business Bureau and Trustpilot. We do not control and are not responsible for their content, availability, accuracy, or privacy practices. A link does not mean we endorse the site or that it endorses us. Your use of a third-party service is governed by that service's own terms.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT, TOOLS, AND MATERIALS ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BILLINGFREEDOM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, OR THAT ANY CONTENT, CODE REFERENCE, PAYER SUMMARY, OR CHAT RESPONSE IS ACCURATE, COMPLETE, OR CURRENT.
This section does not limit any warranty we expressly give in a signed service agreement, and it does not exclude warranties that cannot be excluded under applicable law.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BILLINGFREEDOM LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, ITS CONTENT, OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply to the Site only. Liability for services provided under a signed service agreement or BAA is governed by that agreement. Some jurisdictions do not allow the exclusion of certain damages, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless BillingFreedom LLC and its members, managers, officers, employees, affiliates, and agents from and against any third-party claims, and the resulting damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees), to the extent arising out of (a) your material breach of these Terms, (b) your violation of any law in connection with the Site, (c) information you submit through the Site in breach of Section 6, including PHI submitted without a BAA, or (d) your infringement of a third party's intellectual property or other rights. We will give you prompt notice of any such claim. We may, at our option, control the defense with counsel of our choosing at your expense, and you will cooperate with us. You may not settle any claim that imposes an obligation on us or admits fault on our behalf without our written consent.
12. Governing Law and Dispute Resolution
Governing law
These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first
If you have a dispute with us, contact us at info@billingfreedom.com with a description of the issue and the outcome you want. We will try to resolve it with you within 30 days, and neither party may start a legal proceeding during that period, except that either party may (a) seek urgent injunctive or other equitable relief, (b) file a complaint with a regulator or government agency, or (c) file a claim that would otherwise be barred by a limitation period before the 30 days end.
Venue
Any claim that is not resolved informally must be brought exclusively in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Class action waiver
To the fullest extent permitted by law, you and BillingFreedom agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Time limit
Claims arising out of or relating to the Site or these Terms must be brought within the limitation period set by applicable law.
13. Termination and Suspension
We may suspend or terminate your access to all or part of the Site at any time, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Site or others. Sections 4 through 12 and 15 survive any termination. Termination of Site access does not by itself terminate any signed service agreement, which ends only according to its own terms.
14. Changes to These Terms
We may revise these Terms from time to time. Revised Terms apply only from their effective date forward and do not apply to disputes that arose before that date. We will post the revised Terms on the Site with the updated effective date and, for material changes, including any change to Section 12 (governing law and dispute resolution), will give at least 30 days' notice on the Site or by email and, where the law requires, ask for your renewed agreement. Your continued use of the Site after the effective date means you accept the revised Terms. If you do not agree, stop using the Site.
15. General Provisions
- Entire agreement. These Terms are the entire agreement between you and BillingFreedom regarding the Site and replace any prior understanding about it. A signed service agreement controls over these Terms for the services it covers.
- Severability. If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will stay in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or a successor in connection with a merger, acquisition, or sale of assets.
- Notices. We may give you notice by posting on the Site or by email to an address you provided. Notices to us must be sent to the address in Section 16.
- Electronic communications. You agree that agreements, notices, and other communications we provide electronically satisfy any legal requirement that they be in writing.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including internet or hosting outages, payer or clearinghouse system failures, natural disasters, or government action.
- Headings. Section headings are for convenience only and do not affect interpretation.
